Non-Disclosure Agreement

This Non-Disclosure Agreement (“Agreement”) is entered into by and between ZeusTech (“Company”) and the user/client (“Recipient”).

1. Purpose

The purpose of this Agreement is to protect confidential and proprietary information shared during business discussions, collaborations, or service engagements.

2. Definition of Confidential Information

“Confidential Information” includes:

• Business strategies
• Project details
• Technical data
• Source code, designs, and documents
• Client and financial information

This includes any information that has commercial value and is not publicly available. ()

3. Exclusions

Confidential Information does not include information that:

• Is publicly available
• Was already known prior to disclosure
• Is independently developed without access to confidential data
• Is disclosed with written permission

4. Obligations of the Recipient

The Recipient agrees to:

• Maintain strict confidentiality
• Not disclose information to third parties
• Use information only for agreed purposes
• Protect information with reasonable security measures

5. Duration

This Agreement remains valid:

• During the business relationship, and
• Until the confidential information becomes public or is released in writing

6. Return or Destruction of Information

Upon request, all confidential materials must be returned or destroyed.

7. No Partnership

This Agreement does not create any partnership, employment, or joint venture.

8. Legal Compliance

This Agreement shall be governed by the laws of India.

9. Breach of Agreement

Any breach may result in legal action, including claims for damages and injunctions.
